Thomas W. ZagorskyOf Counsel
Mr. Zagorsky is Of Counsel with Parker MacIntyre. Since joining the firm in 2016, his practice has focused on representing investment advisers, broker/dealers, private investment funds and other investment industry players in various regulatory, compliance, and enforcement matters. He also has significant business and transactional practice experience, specifically in the areas of entrepreneurial private investment fund formation and growth company capital raising.
He is the firm’s primary specialist in the area of investment fund formation, with extensive experience forming dozens of funds, and lecturing and writing on the topic as well. Mr. Zagorsky has exposure to an array of fund related matters, including forming domestic and offshore funds, master-feeder fund structures, advising as to fund manager registration with the SEC, states and CFTC, dealing with fund related compliance issues, and interacting with regulators on behalf of fund clients. Mr. Zagorsky is the author a recent Parker MacIntyre whitepaper entitled Forming a Hedge Fund or other Private Investment Fund: A Top 10 List for the Entrepreneurial Fund Manager which provides a road map to entrepreneurial fund managers seeking to launch their first fund.
Prior to joining the firm, Mr. Zagorsky served as Director/Assistant Commissioner of the Georgia Securities Division, the chief securities regulatory official in Georgia. In that role, he managed the Registrations, Audits/Exams, and Enforcement sections of the Securities Division. He also presided over evidentiary hearings, implemented rulemakings, and represented the agency to the public. Before being promoted to Director, Mr. Zagorsky was a Senior Enforcement Attorney with the Division, investigating and prosecuting individuals and businesses engaged in potential securities violations.
Prior to his service with the Securities Division, Mr. Zagorsky practiced law at a boutique Atlanta firm focused exclusively on private investment fund formation, where he formed over 30 entrepreneurial investment funds (hedge funds, commodity pools, and private equity funds). Mr. Zagorsky was also Chief Counsel and Compliance Officer for an Atlanta-based hedge fund management company with assets under management of over $120 million. In that role, Mr. Zagorsky was responsible for all general corporate legal work, as well as the firm's compliance with SEC and FINRA provisions concerning investment advisers and broker-dealers.
Mr. Zagorsky has also worked as an associate attorney with one of the largest law firms in New Jersey, where he represented a number of large corporate clients in Federal District Court, state court, and public utility commission litigation matters.
Mr. Zagorsky is a frequent lecturer at continuing legal education (CLE) and other events, having spoken on topics ranging from hedge fund formation to growth company capital raising. He has been invited to speak at the Institute of Continuing Legal Education in Georgia (GA ICLE) six times in the last ten years.
Mr. Zagorsky received his Juris Doctorate from the University of Pittsburgh School of Law and attended the Georgetown University Law Center. Mr. Zagorsky also holds B.A. and M.B.A. degrees from the Pennsylvania State University.
Mr. Zagorsky is a member of the State Bar of Georgia, and is also licensed to practice law in the District of Columbia and New Jersey.
